Constitution
Adopted July 1, 2012Article I – Organization
Section 1.1 Name. The name of this Association is Polish American Engineers Association, and its abbreviated title is PAEA.Section 1.2 Objectives. The objectives of this Association shall be to cultivate close relations among engineers and professional people of related fields. To accomplish the objectives, the Association shall cooperate with groups or associations so mutual benefits to the parties concerned and to the community will materialize. In addition, the Association shall maintain a program for aiding and influencing the youth of Polish heritage in seeking and obtaining higher education.
Article II – Officers
Section 2.1 Officers and Duties. The officers of the Association shall be the President, First Vice President, Second Vice President, Treasurer, Financial Secretary, and Recording Secretary. These officers shall perform the duties prescribed by the Association’s Bylaws.Article III – Board of Directors
Section 3.1 Membership. The Board of Directors shall provide guidance to the Officers of the Association to ensure that the Association maintains its direction and objectives in accordance with the Constitution and Bylaws.Article IV – Amendments
Section 4.1 Notice. Any Member or Life Member of the Association may propose Amendments to this Constitution. All proposed amendments shall be endorsed in writing by a minimum of five Members and/or Life Members and shall be presented in writing to the Recording Secretary.Section 4.2 Presentation. Upon receipt of any proposed amendment to the Constitution in accordance with Section 4.1 of this Article, the Recording Secretary shall record and pass it to the First Vice President for presentation and comments at the next monthly meeting. Two weeks before the monthly meeting, the Recording Secretary shall e-mail and/or mail copies of all proposed amendments to all Members and Life Members.
Section 4.3 Discussion. At the meeting, the First Vice President shall discuss all proposed amendments to the Constitution with all present Members and Life Members.
Section 4.4 Voting. The voting may be either by mail or by e-mail and must be received by a date specified by the Recording Secretary. An affirmative vote by two-thirds of the Members and Life Members is required to approve the proposed amendment(s). Such affirmation shall automatically affect the Constitution. The amendments shall then be recorded by the Recording Secretary and shall be published in the Bulletin of the Association.
Article V - Liquidation Of The Association
Section 5.1 Liquidation. The Polish American Engineers Association cannot be disbanded as long as there are total of five Members and/or Life Members. The Administration shall discuss and determine liquidation procedures at a special meeting. The results of majority vote shall be final. All necessary organizations and/or government bodies shall be notified as to the decision to liquidate the Association.Article VI – Interpretation of Rules
Section 6.1 Rules. “Robert’s Rules of Order” shall be the governing authority on all questions involving parliamentary procedure.
